Terms of Service

Important note to Niki before this goes live: This is a substantive first draft. You should have it reviewed by an attorney before posting publicly — particularly the disclaimer, limitation of liability, indemnification, and dispute resolution sections, which carry real legal weight in the DNA testing category. Until then, this can sit as a draft.

1. Agreement

These Terms of Service ("Terms") govern your use of the Sanctified Mind Genomics website at mentalhealthdnatest.com and any related services we offer (collectively, the "Service"). By using the Service or purchasing a test, you agree to these Terms.

If you do not agree, do not use the Service.

2. Who we are

Sanctified Mind Genomics ("Sanctified Mind," "we," "us," "our") is a precision psychiatric genomics company. We provide DNA testing services that map an individual's psychiatric pathway biology to inform mental health care decisions made by licensed clinicians.

3. Eligibility

You must be at least 18 years old to create an account or submit a sample. You must be a resident of the United States. By using the Service, you represent that you meet these requirements.

If you are submitting a sample on behalf of a minor for whom you are the parent or legal guardian, you may do so only with our specific written authorization in advance.

4. The Service

We collect your saliva sample, send it to a CLIA/CAP-accredited laboratory partner for genotyping, generate a report that maps your genetic variants to the psychiatric pathways we test, and deliver that report to you and, if you direct us, to the healthcare provider you designate.

We may update or modify the Service from time to time. We will give reasonable notice of material changes.

5. The report is not medical advice

This is the most important section. Read it.

Our reports are informational. They are designed to be used by a licensed healthcare provider — a psychiatrist, primary care physician, nurse practitioner, geneticist, or other qualified clinician — to inform clinical decisions.

The report does not diagnose any condition.

The report does not treat, cure, or prevent any condition.

The report does not prescribe medication, supplements, or any other intervention.

The report is not a substitute for the clinical judgment of a licensed healthcare provider.

You agree that you will not act on information in the report without consulting a licensed healthcare provider. You agree that nothing in the report constitutes medical advice, and that we have no clinician-patient relationship with you by virtue of providing the report.

If you do not have a healthcare provider you can review the report with, we encourage you to find one before ordering or before acting on results.

6. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at nikiausmus@gmail.com if you believe your account has been accessed without your permission.

You agree to provide accurate, complete, and current information when you create your account and when you complete any questionnaires that inform your report. Inaccurate information may affect the interpretation of your results.

7. Sample submission and consent

By submitting a sample, you confirm that:

The sample is yours, or you are the parent or legal guardian of the minor whose sample it is and you have our specific written authorization;
You provide informed consent to the laboratory analysis described in our materials;
You understand that genotyping cannot always be successful — sample failure does happen, in which case we will request a replacement sample at no charge;
You consent to our storage and handling of the sample and resulting Genetic Information in accordance with our Privacy Policy.

You may withdraw consent and request deletion of your sample and Genetic Information at any time. See the Privacy Policy for the deletion process and timeline.

8. Acceptable use

You agree not to:

Use the Service for any unlawful purpose;
Submit a sample that is not your own or for which you do not have lawful authority to submit;
Attempt to reverse-engineer, decompile, or otherwise discover the methods underlying our reports;
Scrape, copy, or republish content from the Service without our prior written consent;
Use the Service in a way that interferes with or disrupts the Service for other users.

9. Payment, shipping, and refunds

Prices and any shipping fees are shown at checkout. Payment is due in full at the time of order. We charge through our payment processor; we do not store full card numbers.

Before sample submission: you may cancel your order for a full refund minus any kit shipping costs already incurred.

After sample submission and before processing: you may request a refund within 14 days of receipt of your kit, subject to a reasonable processing fee.

After processing begins: the order is non-refundable. Once your sample is in the lab pipeline, the work has been performed.

10. Intellectual property

The Service, including the website, the report templates, our pathway analysis methodology, our trademarks, and all underlying technology, is owned by Sanctified Mind Genomics and is protected by intellectual property law. You receive a personal, limited, non-transferable license to access and use the Service for your own personal purposes.

Your Genetic Information belongs to you. You retain ownership of your data.

11. Disclaimers

THE SERVICE AND THE REPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SYSTEMS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT THAT THE INFORMATION IN THE REPORT WILL BE ACCURATE, COMPLETE, OR APPLICABLE TO YOUR INDIVIDUAL HEALTH SITUATION. GENETIC ASSOCIATIONS REFLECT POPULATION-LEVEL STATISTICAL FINDINGS THAT MAY OR MAY NOT BE PREDICTIVE FOR ANY INDIVIDUAL.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SANCTIFIED MIND GENOMICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, OR PERSONAL INJURY — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THE REPORT.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE TEST GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify and hold harmless Sanctified Mind Genomics, its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to:

Your breach of these Terms;
Your misuse of the Service or the report;
Your violation of any law or the rights of any third party;
Any decision made by you or by a healthcare provider acting on information you shared from the report.

14. Termination

You may close your account at any time by emailing nikiausmus@gmail.com. We may suspend or terminate your account if you breach these Terms or use the Service in a way that we reasonably believe creates risk to us, to other users, or to the integrity of the Service.

Termination does not affect any obligations or rights that by their nature survive — including without limitation the disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

15. Governing law

These Terms are governed by the laws of the State of [INSERT STATE — likely the state where Sanctified Mind is incorporated], without regard to its conflict-of-law provisions.

Niki — fill in the state once you confirm with counsel where you want to be governed. Most genomics startups go with Delaware (entity formation) or California (consumer-friendly), but it depends on where you live and where you incorporate.

16. Dispute resolution

We will try to resolve any dispute informally. If we can't, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in [INSERT CITY/STATE]. You and Sanctified Mind each waive any right to a jury trial and any right to bring or participate in a class action.

You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing nikiausmus@gmail.com with "ARBITRATION OPT-OUT" in the subject line.

Niki — your attorney will weigh whether to include or remove the arbitration clause. Some founders prefer it; some don't.

17. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email and post a notice on the site at least 30 days before the change takes effect. Continued use of the Service after the change takes effect means you accept the updated Terms.

18. Miscellaneous

These Terms, together with our Privacy Policy and any order-specific terms, form the entire agreement between you and Sanctified Mind regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of that provision.
